End-User License Agreement

Effective October 1, 2026

This End-User License Agreement ("Agreement") is a contract between you (or the organization you represent, "you") and North South Tech ("we", "us") governing your use of FinDir, including its web application and its integrations with third-party services such as QuickBooks Online (the "Service"). By creating an account, accepting an invitation, or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

1. License

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your organization's internal business purposes, such as managing P&L reporting, invoicing, time tracking and payroll records.

2. Accounts

  • You must provide accurate information and keep your login credentials confidential.
  • You are responsible for all activity under your account and for the users you invite to your company workspace, including the roles and permissions you assign to them.
  • Notify us promptly at support@northsouthtech.co if you suspect unauthorized access.

3. Restrictions

You will not, and will not permit others to:

  • copy, modify, reverse engineer, or create derivative works of the Service, except as allowed by law;
  • resell, sublicense, or provide the Service to third parties as a service bureau;
  • access data belonging to another organization or attempt to bypass security or access controls;
  • use the Service for any unlawful purpose or to store content you have no right to process.

4. Third-party integrations

The Service can connect to QuickBooks Online and other third-party services at your direction. Your use of those services is governed by their own terms (including the Intuit Terms of Service), and we are not responsible for them. You authorize us to access and process data from a connected service on your behalf to provide the Service. You can disconnect an integration at any time from the Service's settings or from within the third-party service.

5. Your data

You retain all rights to the data you submit to or import into the Service ("Customer Data"). You grant us a limited license to host, process and display Customer Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy. You are responsible for the accuracy of Customer Data and for having the rights and consents needed to provide it, including employee and client information.

6. Not professional advice

Reports, forecasts, payroll calculations and other outputs are tools to support your decisions. They are not accounting, tax, legal or financial advice. You are responsible for reviewing results and for your compliance with applicable laws and filing obligations.

7. Intellectual property

The Service, including its software, design and documentation, is owned by North South Tech and its licensors and is protected by intellectual property laws. Except for the license granted above, no rights are transferred to you. If you send us feedback, we may use it without obligation to you.

8. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach this Agreement or if required by law. Upon termination your license ends; you may request an export or deletion of Customer Data by contacting support@northsouthtech.co. Sections 5–11 survive termination.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTH SOUTH TECH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM, OR US$100 IF YOU PAID NOTHING.

11. General

We may update this Agreement from time to time; the effective date above shows the latest version, and continued use after an update means you accept it. If any provision is unenforceable, the rest remains in effect. This Agreement is the entire agreement between you and us regarding the Service.
